We are pleased to welcome you to the website lexanaflowers.com – an information platform that creates a connection between sellers and wholesale buyers of floricultural and decorative horticultural goods, as well as other products by mutual agreement of the parties. The service also offers tools for concluding supply contracts, including offers from lexanaflowers.com (hereinafter referred to as the "Company"). You will find the details of these opportunities in our User Agreement.

This Agreement defines the relationship between the Company and the users of the service, hereinafter referred to as "User", who have used the platform lexanaflowers.com in accordance with the terms set out herein.

If you, as a User, do not agree with the terms of the Agreement, you are obliged to cease using the Service, by taking actions provided for in section 2.4. of this Agreement. The Agreement and other Company documents are located in the "Legal Information" section.

1. Definitions

The following concepts and terms are used in this Agreement:

  • Contract: supply and/or logistic contracts concluded between the Buyer and the Supplier based on information from the Service. The Company does not directly participate in these transactions, unless otherwise agreed.
  • Service (Website, Platform): a combination of programs and intellectual outcomes, placed on lexanaflowers.com and offered to users.
  • Order: confirmation of the User's intention to purchase goods from another User, acting as the Supplier.
  • User/Client: legal entities or individual entrepreneurs, registered on the site and having access to the Service.
  • Goods: products offered on the Service, including plants and decorative vegetation, and related goods.
  • Supplier's Offer: an offer from a User to sell goods through the Service, addressed to a wide audience.
  • Client Content: all information provided or published by the User through the Service.

2. Terms of Use of the Service and Applicability of the Agreement

2.1. The User is obliged to familiarize themselves with the User Agreement and Rules before starting to work with the Service. Using the Service implies full and unconditional acceptance of the terms of the Agreement and Rules.

2.2. Using the Service confirms your full agreement with the terms of this Agreement, as well as performing actions that confirm your agreement.

2.3. The Company has the right to change and supplement the Agreement and Rules unilaterally without prior notice.

2.4. If disagreeing with the Agreement or its clauses, the User must cease using the Service.

3. Registration and User Account

3.1. Registration on the Service is voluntary and available to legal entities and individual entrepreneurs.

3.2. The User must provide current and valid information during registration and use of the Service.

3.3. The User may be requested by the Company to provide documents confirming the data stated at registration.

3.4. Information posted by the User in the Service may be available to other users.

3.5. The User is fully responsible for all data provided by them in the Service.

3.6. The Company ensures the security and confidentiality of the User's personal data.

4. Description Of Ther Service

The Service provides users with the ability to publish, search, and view Supplier Offers and other useful information.

5. User's Rights And Obligations

The User is obliged to comply with applicable legislation, provide accurate information about the Goods, and not infringe the rights of third parties.

6. Company's Rights And Obligations

The Company manages the Service, updates it, and ensures the security of its use. The Company has the right to suspend or modify the operation of the Service, limit access for Users.

7. Liability And Warranty Limitations

The use of the Service is at the User's own risk. The Company is not responsible for direct or indirect damage caused by the use of the Service.

8. Company's Limitation Of Liability

The Company does not guarantee continuous access to the Service and is not responsible for interruptions in access due to technical problems.

9. Intellectual Property Rights

Exclusive rights to the Service belong to the Company. Copying, modifying, or distributing any elements of the Service without the Company's permission is not allowed.

11. Other Terms

All disputes arising in connection with the performance of the Agreement are resolved through negotiations or in court in accordance with the legislation of the "Netherlands".
